BUSINESS VALUATIONS
Business valuations enable owners to understand and determine the current economic value of their business by analyzing various aspects including the company’s management, capital structure, future earnings and the market value of its assets.

FAIRNESS OPINIONS
A fairness opinion is a letter summarizing an analysis prepared by an independent third-party which indicates whether certain financial elements of a transaction such as price, are fair to a specific participant in the transaction, from a financial point of view. Generally considered a requirement in public M&A deals, a growing number of private and, middle-market firms are seeking fairness opinions.

FINANCIAL REPORTING

With the continued increased focus on fair value measurement, companies must understand the nuances of impairment testing for different types of balance sheet assets to ensure timely and accurate reporting of financial statement information to stakeholders. INDEFINITE-LIVED INTANGIBLE ASSETS AND GOODWILL IMPAIRMENT
Accounting Standards Codification 350 (ASC 350)
The major financial reporting change due to ASC 350 is the elimination of the amortization of goodwill. Under this change, goodwill and other intangible assets are now subject to an annual test for impairment of value.

LONG-LIVED ASSETS AND FINITE-LIVED INTANGIBLE ASSETS IMPAIRMENT
Accounting Standards Codification 360 (ASC 360)

ASC 360 provides guidance on accounting for the impairment or disposal of long-lived assets. Testing of long-lived assets to be held is not necessarily an annual procedure, but the recoverability of long-lived assets must be tested with the occurrence of trigger events. Specifically, ASC 360 indicates that impairment testing should be completed whenever events or changes in circumstances indicate the asset’s carrying value may not be recoverable.

PURCHASE PRICE ALLOCATION
Accounting Standards Codification 805 (ASC 805)
Companies engaging in business combinations need to perform a purchase price allocation (PPA) for financial reporting purposes. ASC 805 established the PPA standard for M&A valuations to give investors more transparency into these transactions and their implications for company value. The ultimate effect of ASC 805 is that it separates identifiable tangible and intangible assets from goodwill.
